Vaxcyte Launches Dual $500M Stock and Bond Offerings
Vaxcyte is raising up to $1 billion through separate public offerings of common stock and convertible senior notes due 2032.
Vaxcyte, Inc., a clinical-stage vaccine developer listed on Nasdaq under the ticker PCVX, announced Monday the simultaneous launch of two separate public offerings totaling $1 billion, comprising $500 million in common stock and pre-funded warrants and $500 million in convertible senior notes maturing in 2032.
The San Carlos, California-based company is acting as the sole seller in both transactions, which are registered under the Securities Act of 1933. Underwriters have been granted a 30-day option to purchase up to an additional $75 million in common stock and a separate $75 million in convertible notes to cover potential over-allotments, bringing the maximum combined fundraising capacity to approximately $1.15 billion.

The two offerings are structured as independent transactions. Vaxcyte confirmed that neither deal is conditioned on the successful closing of the other, giving the company flexibility should market conditions favor one instrument over the other at the time of pricing.
As a clinical-stage company, Vaxcyte does not yet generate commercial revenue, making capital raises a primary mechanism for funding ongoing research and development. Dual-tranche financing of this scale — blending equity with convertible debt — is a common strategy for late-stage biotech firms seeking to balance dilution risk against borrowing costs.
